I have a rough idea how it works, but I would love it is someone could explain the details. For example... how getting an exception for Memo will help the Jazz.

Jazz can absorb up to a 10 million dollar/year player without having to send any salary back. It is even allowed to bring them over the cap. They are particularly useful in 3 team deals.
I'm sure you've already read the hundred or so threads on this site about the TPE and still can't figure it out so I doubt I can help you. You had better give up and leave it to the amoeba and higher brains.
